1. Agreement to Terms

Welcome to BengalTech Solutions. These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and BengalTech Solutions ("we", "us", or "our"), concerning your access to and use of our website as well as any related software development, custom web, or mobile app development services we provide. By accessing our services, you agree that you have read, understood, and agreed to be bound by all of these Terms and Conditions.

2. Software Development Services

BengalTech Solutions provides both local and offshore software engineering services. The specific scope, timeline, deliverables, and fees for any project will be governed by a separate mutually agreed-upon Statement of Work (SOW) or Master Services Agreement (MSA). In the event of a conflict between these general terms and a specific SOW, the terms of the SOW shall prevail.

• Clients must provide necessary technical specifications, API access, and feedback in a timely manner.
• We reserve the right to refuse service or terminate project engagements if terms of the SOW are violated or if client requests fall outside our ethical guidelines.
• Project milestones and delivery timelines are estimates based on initial scopes and may be adjusted upon mutual agreement if project requirements change.

3. Intellectual Property Rights

Upon full payment of all undisputed fees associated with a project, the client shall own the intellectual property rights to the final custom software deliverables as defined in the SOW. However, BengalTech Solutions retains ownership of any pre-existing code libraries, frameworks, tools, or methodologies used to create the deliverables. We grant the client a non-exclusive, non-transferable license to use these pre-existing materials solely as integrated into the final software product.

4. Confidentiality

We frequently work with sensitive corporate data and proprietary business concepts for our local and international clients. Both parties agree to hold any confidential information shared during the course of a project in strict confidence and to not disclose such information to any third parties without prior written consent, except as required by law. 5. Limitation of Liability

To the fullest extent permitted by law, in no event will BengalTech Solutions, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of our services or software deliverables, even if we have been advised of the possibility of such damages.

6. Governing Law and Jurisdiction

These Terms and Conditions and your use of our services are governed by and construed in accordance with the laws of Bangladesh applicable to agreements made and to be entirely performed within Bangladesh, without regard to its conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Dhaka, Bangladesh.
